TERMS & CONDITIONS OF USE & SALE

These Terms & Conditions (“Terms”) govern your access to and use of Odaay.com, including all related websites, mobile applications, software, tools, features, content, and services (collectively, the “Platform”), operated by Odaay Technologies LLC (“Odaay”, “we”, “us”, or “our”).

By accessing, browsing, registering, or making a purchase through the Platform, you confirm that you have read, understood, and agreed to be legally bound by these Terms.

1. PLATFORM SCOPE & ACCEPTANCE

The Odaay platform operates primarily as an intermediary electronic platform that enables independent third-party sellers to display and sell their products and services directly to users through the platform.

In limited and specific cases only, which are expressly and clearly indicated on the relevant product page, Odaay may act as the direct seller of certain products or services.

The user acknowledges and understands that:

  • The nature of Odaay’s role (as a platform operator or as a direct seller) varies depending on each transaction, and
  • Such role is explicitly specified in the details of each product or service.

Certain services or transactions may be subject to additional or special terms. In the event of any conflict, the specific terms applicable to the relevant service shall prevail.

Odaay operates as a hybrid commercial system, whereby:

  • Odaay sells certain products or services directly; and
  • Enables independent third-party sellers to list and sell their products through the platform.

Some services may be subject to additional terms, and in case of conflict, the terms specific to that service shall apply.

Third-Party and Independent Seller Activities

Stores may be operated, services provided, or products sold through the Odaay platform by independent third parties, including sellers that are not affiliated with Odaay Technologies LLC.

Odaay does not:

  • Examine, review, or guarantee the offerings of such sellers;
  • Assume any responsibility for their actions, products, or the content of their pages.

Odaay makes no representation or warranty, whether express or implied, regarding:

  • The quality of the products,
  • Their safety,
  • Their legality,
  • The accuracy or completeness of their descriptions, or
  • The sellers’ compliance with any contractual obligations.

When you enter into a transaction involving a third-party seller, Odaay may share certain transaction-related data with that seller to the extent necessary to fulfill the order, and the seller’s use of such data shall be governed by the seller’s own policies.

Odaay’s Role in Third-Party Seller Transactions

The Odaay platform allows third-party sellers to list and sell their products through the platform, as clearly indicated on the relevant product detail page.

In such cases:

  • Odaay is not the seller;
  • Odaay is not the buyer;
  • Odaay does not act as an agent of the seller.

The contract relating to the purchase of products sold by a third party is concluded exclusively between the buyer and the seller, and Odaay’s role is limited solely to providing the technical infrastructure and electronic intermediary necessary to facilitate the transaction.

The third-party seller bears sole and full responsibility for:

  • Selling the product,
  • Accuracy of descriptions,
  • Shipping and delivery,
  • Returns and exchanges,
  • Warranties, and
  • Any claims or disputes arising out of the transaction.

Odaay shall bear no liability, whether direct or indirect, arising out of or related to such contracts, except to the extent expressly required by mandatory applicable law.

In certain cases, Odaay may offer buyer protection or support programs, without such offerings constituting participation in the contract or imposing any additional obligations on Odaay.

Limitation of Liability

Odaay makes reasonable efforts to ensure the continuous operation of the platform; however, the user acknowledges that the nature of the internet and technical systems may result in:

  • Temporary interruptions,
  • Technical errors,
  • Periodic maintenance or updates.

Odaay shall not be liable for:

  • Any losses not resulting from its direct fault,
  • Any commercial losses, including loss of profits, data, or reputation,
  • Any indirect or consequential damages that could not reasonably have been foreseen.

Odaay shall also not be liable for any delay or failure resulting from circumstances beyond its reasonable control.

2. ELECTRONIC COMMUNICATIONS

By using the Platform, you consent to receiving communications electronically, including emails, platform messages, notifications, and system alerts. These communications satisfy any legal requirement for written notice unless applicable law requires otherwise.

3. ACCOUNT REGISTRATION & RESPONSIBILITY

  • Certain features require account registration.
  • You are responsible for:
    • Maintaining the confidentiality of your login credentials
    • All activity conducted under your account
    • Ensuring your information is accurate and current
  • You must immediately notify us of any unauthorized access or security breach.
  • We may suspend or terminate accounts involved in misuse, fraud, or violations of these Terms.

4. INTELLECTUAL PROPERTY & CONTENT OWNERSHIP

4.1 Ownership

All content available on or through the Platform, including but not limited to:

  • Product images and photographs
  • Website design, layout, and structure
  • Logos, icons, graphics, illustrations
  • Text, descriptions, data, pricing formats
  • Videos, audio, animations
  • Software, code, and databases

(collectively, “Platform Content”)
is the exclusive property of Odaay Technologies LLC or its licensors, and is protected under copyright, trademark, database, and intellectual property laws in Egypt and internationally.

4.2 Prohibited Use

You are strictly prohibited from:

  • Copying, downloading, saving, reproducing, or redistributing Platform Content
  • Using Odaay images, product photos, or descriptions on other websites, marketplaces, or social media
  • Scraping, crawling, harvesting, or extracting data or images
  • Creating derivative works based on Platform Content
  • Using Platform Content for commercial or competitive purposes
  • Republishing or mirroring the Platform or any portion of it

This applies even if content is publicly visible.

4.3 No Implied License

Access to the Platform does not grant any license or right to use Odaay’s intellectual property beyond personal, non-commercial viewing.

4.4 Enforcement

Odaay reserves the right to:

  • Issue takedown notices
  • Suspend or terminate accounts
  • Pursue civil and criminal remedies
  • Claim damages and legal costs

Any unauthorized use of Platform Content constitutes a material breach of these Terms.

5. TRADEMARKS

“Odaay”, “Odaay.com”, and all related names, logos, slogans, and visual identifiers are trademarks of Odaay Technologies LLC.
They may not be used without prior written consent.

6. LIMITED LICENSE TO USE THE PLATFORM

Odaay grants you a revocable, non-exclusive, non-transferable, non-commercial license to access and use the Platform in accordance with these Terms.

This license terminates automatically upon any violation.

7. USER-GENERATED CONTENT

If you submit reviews, comments, images, or other materials:

  • You grant Odaay a worldwide, perpetual, royalty-free, sublicensable license to use, modify, publish, and display such content.
  • You confirm that you own or have rights to the content.
  • You agree to indemnify Odaay against claims arising from your content.
  • Odaay may remove content at its discretion without obligation.

8. MARKETPLACE & SELLER ROLE

  • Products marked as sold by third-party sellers are offered by independent merchants.
  • Odaay is not a party to contracts between buyers and third-party sellers.
  • Sellers are responsible for:
    • Product accuracy
    • Fulfillment
    • Returns and warranties (unless stated otherwise)
  • Odaay may provide buyer protection programs where stated.

9. ORDERS, CONTRACT FORMATION & PAYMENTS

  • Placing an order constitutes an offer to purchase.
  • A binding contract is formed only upon shipment or digital delivery confirmation.
  • Orders may be cancelled before confirmation unless restricted by product type.
  • Odaay may refuse or cancel orders due to errors, availability, or compliance concerns.

10. PRICING, VAT & TAXES

  • Prices may include or exclude VAT or other applicable taxes.
  • Where taxes are excluded:
    • They will be added separately
    • Clearly displayed during checkout or invoicing
  • Tax treatment may vary based on:
    • Location
    • Product type (physical or digital)
  • Currency conversion fees may apply depending on payment method.

11. SHIPPING, DIGITAL DELIVERY & CUSTOMS

  • Delivery estimates are non-binding.
  • International orders may be subject to customs duties and import taxes.
  • You are responsible as the importer of record.
  • Digital products may be delivered electronically and may not be returnable once accessed.

12. RETURNS, REFUNDS & WARRANTIES

  • Returns and refunds are subject to stated policies.
  • Certain items (including digital products) may be non-refundable.
  • Where applicable, products may include limited warranties.
  • Remedies may include repair, replacement, or refund at Odaay’s discretion.

13. SOFTWARE & APPLICATION USE

  • Platform software is licensed, not sold.
  • You may not:
    • Reverse engineer
    • Modify
    • Redistribute
    • Use software outside Platform functionality
  • Updates may be deployed automatically.

14. AUTOMATED ACCESS & BOTS

  • Automated tools, bots, or agents may not access the Platform without authorization.
  • Circumventing safeguards, CAPTCHAs, or access controls is prohibited.
  • Odaay may block or restrict automated activity at any time.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • Odaay is not liable for indirect, incidental, or consequential damages
  • Odaay is not responsible for business losses or data loss
  • Platform availability is not guaranteed at all times

16. INDEMNIFICATION

You agree to indemnify and hold harmless Odaay from claims arising out of:

  • Your use of the Platform
  • Violation of these Terms
  • Infringement of third-party rights

17. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the Arab Republic of Egypt.
Egyptian courts shall have exclusive jurisdiction over any disputes.

18. CHANGES TO TERMS

Odaay may amend these Terms at any time. Continued use after changes constitutes acceptance.

19. AGE RESTRICTIONS

The Platform is intended for users aged 18 and above.
Minors may use the Platform only under parental or guardian supervision.
